Public Offer Agreement for the Provision of Domain Registration, Hosting, and Server Rental Services

 

This Agreement is a public offer, meaning an official proposal to enter into a service agreement in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine.

The sole proprietor Anatolii Mykolaiovych Pashmorha, hereinafter referred to as the Contractor, acting on the basis of the record in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations No. 24990000000002950 dated February 14, 2005, publishes this Agreement for an unlimited number of persons.

Acceptance of this offer shall be deemed to occur upon payment for any of the Contractor’s services. From the moment of payment, a service agreement shall be considered concluded between the Customer and the Contractor under the terms set out below.


1. General Provisions

1.1. This Agreement governs the relationship between the Contractor and an individual or legal entity (hereinafter, the Customer) who orders and pays for the Contractor’s services.

1.2. The terms of this Agreement are the same for all Customers and cannot be modified unilaterally.

1.3. The Contractor reserves the right to amend this Agreement without prior notice to the Customer by publishing a new version on its website.

1.4. If the Customer disagrees with the changes, they may stop using the Contractor’s services.

1.5. The Contractor provides services in the field of information technology, namely:

  • registration (delegation) of domain names;
  • hosting (website placement) services;
  • rental of virtual or physical (dedicated) servers.

2. Subject of the Agreement

2.1. The Contractor undertakes to provide the Customer with services according to the selected plan, and the Customer agrees to accept and pay for them under this Agreement.

2.2. The list, scope, technical parameters, and cost of services are defined on the Contractor’s official website — https://billing.domns.com.

2.3. The services are provided in accordance with the legislation of Ukraine and international standards governing Internet services.


3. Rights and Obligations of the Parties

3.1. Customer Obligations

  • Provide accurate contact information (name, email, phone, address) and keep it up to date.
  • Pay for the Contractor’s services on time.
  • Use the services only for lawful purposes.
  • Not distribute spam, malware, prohibited, or illegal content.
  • Comply with the Contractor’s technical requirements regarding DNS, server load, databases, security, etc.
  • Maintain the confidentiality of their logins and passwords.

3.2. Contractor Obligations

  • Provide access to the ordered services after receiving payment.
  • Ensure technical support and proper operation of equipment within the limits of its obligations.
  • Notify of planned maintenance or tariff changes through the website or email.
  • Process the Customer’s personal data in accordance with the Law of Ukraine “On Personal Data Protection.”
  • Not disclose the Customer’s information to third parties, except as required by law or ICANN regulations.

4. Terms of Service Provision

4.1. Domain Name Registration (Delegation) Services

4.1.1. The Contractor provides domain registration, renewal, technical support, and administration services, acting as a registrar or intermediary between the Customer and the registry operator.

4.1.2. The Customer must provide all required information for domain registration according to ICANN and registry policies.

4.1.3. The Customer is responsible for the accuracy of the submitted data.

4.1.4. The Contractor is not liable for the registry operator’s refusal to register or deletion of a domain.

4.1.5. Information about registered domains may be published in public databases (WHOIS).

4.1.6. The Customer has the right to transfer their domains to another registrar after full payment and in the absence of debt.

4.1.7. Domains are registered for 1 year (or another period per the tariff) with an option to renew.


4.2. Hosting Services

4.2.1. The Contractor provides the Customer with disk space and technical resources for hosting websites and data.

4.2.2. Services do not include website setup, content creation, or development.

4.2.3. It is prohibited to host:

  • malware, viruses, doorway pages, or scripts for search engine manipulation;
  • pornographic, violent, or discriminatory materials;
  • gambling sites, online casinos, or the sale of weapons, alcohol, or medicine;
  • illegal copies of software, music, or movies;
  • email or spam services.

4.2.4. If resource limits are exceeded, the Contractor may temporarily restrict or suspend the service.

4.2.5. The Contractor is not responsible for data loss resulting from the Customer’s actions, hacking, or software errors.

4.2.6. The Customer is fully responsible for the content they host.


4.3. Virtual or Dedicated Server Rental

4.3.1. The Contractor provides the Customer with access to a rented server (VPS/VDS or physical).

4.3.2. The Customer is fully responsible for configuration, security, and data backups.

4.3.3. It is prohibited to use the servers for:

  • spam or DDoS attacks;
  • unauthorized access to other systems;
  • hosting prohibited content.

4.3.4. In case of violation, the Contractor may suspend or terminate the agreement without refund.

4.3.5. Upon expiration or non-payment, access to the server is blocked and data may be deleted.

4.3.6. Renewal occurs automatically after payment for the next period.


5. Payment Terms

5.1. All services are provided on a prepaid basis.

5.2. Prices are defined in the tariffs published on the Contractor’s website.

5.3. Payments are made in the national currency of Ukraine — hryvnia (UAH).

5.4. A payment is considered complete once funds are credited to the Contractor’s account.

5.5. If the official NBU exchange rate of the euro to hryvnia changes by more than 5%, the Contractor may adjust prices.

5.6. Payment constitutes acceptance of this Agreement.

5.7. Refunds are possible only if a service cannot be technically provided.

5.8. Claims regarding service quality are accepted within 30 days of payment.


6. Liability of the Parties

6.1. The Contractor is not liable for:

  • third-party equipment failures;
  • network disruptions or force majeure;
  • the Customer’s actions that caused data loss;
  • any indirect losses, including loss of profit.

6.2. The Customer is fully responsible for their content and user activity.

6.3. The Contractor may suspend or terminate services without compensation in case of a violation of this Agreement.

6.4. The Contractor’s liability is limited to the amount paid by the Customer for the last paid period.


7. Termination of the Agreement

7.1. The Agreement may be terminated:

  • by the Customer — by written or electronic notice at least 5 days before the termination date;
  • by the Contractor — in case of violation or non-payment.

7.2. In early termination, payments are non-refundable.

7.3. After termination, access to services is revoked and data may be permanently deleted. 7.4. The Agreement renews automatically upon timely payment for the next period.


8. Dispute Resolution

8.1. All disputes shall be resolved through negotiation.

8.2. If no agreement is reached, disputes shall be resolved under the laws of Ukraine.

8.3. The parties agree that the venue of jurisdiction shall be the Contractor’s place of registration.


9. Confidentiality and Personal Data Processing

9.1. The Customer consents to the processing of their personal data (collection, storage, use, dissemination, anonymization, deletion).

9.2. The purpose of processing is to ensure the provision of services under this Agreement.

9.3. The Contractor guarantees compliance with Ukrainian data protection law.

9.4. The Customer may withdraw consent in writing, but withdrawal may prevent further service provision.

9.5. For domain-related services, the Customer agrees to the publication of their data in public databases (WHOIS) per ICANN rules.


10. Force Majeure

10.1. The Parties are released from liability for failure to perform obligations due to force majeure (war, fire, natural disasters, power outages, technical failures, etc.).

10.2. The affected party must notify the other party within 5 days.

10.3. The term of obligations is extended by the duration of the force majeure event.


11. Duration of the Agreement

11.1. The Agreement becomes effective upon payment for the first service.

11.2. It remains valid indefinitely while the Customer uses the Contractor’s services.

11.3. Changes in the parties’ details do not invalidate the Agreement.

11.4. All previous agreements on the same subject are superseded by this one.


12. Final Provisions

12.1. This Agreement has equal legal force as a written one.

12.2. The inability to fulfill any clause does not affect the validity of the others.

12.3. The current version is always available on the Contractor’s website.

12.4. The Customer is responsible for monitoring updates to the terms on the official website.
